This SEO Services Agreement (the “Agreement”) is entered into as of [Effective Date] (the “Effective Date”), by and between:

Norzer, LLC (“Contractor”), with a principal place of business in the State of Louisiana  and 

[Client Name], a [Client Business Type] with a principal place of business at [Client Address] (“Client”).

WHEREAS, Contractor desires to provide certain SEO services (the “Services”) to Client, and

WHEREAS, Client desires to engage Contractor to provide the Services;

NOW, THEREFORE, in consideration of the foregoing premises and the mutual covenants contained herein, the parties agree as follows:

  1. Services. The following are some of the SEO services that may be provided under this Agreement, but are not limited to:
  1. Keyword Research and Analysis
    Identifying and analyzing the best keywords to target for your business to drive relevant traffic.
  2. On-Page Optimization
    Optimizing individual web pages to rank higher and earn more relevant traffic, including meta tags, headers, and content optimization.
  3. Technical SEO
    Improving the technical aspects of your website, such as site speed, mobile-friendliness, and crawlability, to enhance search engine rankings.
  4. Content Creation and Optimization
    Developing high-quality, SEO-friendly content that resonates with your target audience and ranks well in search engines.
  5. Link Building
    Acquiring high-quality backlinks from reputable websites to improve your site’s authority and search engine rankings.
  6. Local SEO
    Optimizing your online presence to attract more business from relevant local searches, including Google My Business optimization.
  7. SEO Audits
    Conducting comprehensive audits to identify issues and opportunities for improving your website’s SEO performance.
  8. Competitive Analysis
    Analyzing your competitors’ SEO strategies to identify strengths, weaknesses, and opportunities for your own SEO efforts.
  9. Analytics and Reporting
    Monitoring and reporting on key SEO metrics and performance to track progress and make data-driven decisions.
  10. E-commerce SEO
    Optimizing online stores to improve visibility, drive traffic, and increase sales through search engines.
  11. Voice Search Optimization
    Adapting your content and website structure to cater to the growing trend of voice search.
  12. Mobile SEO
    Ensuring that your website is optimized for mobile devices to enhance user experience and search engine rankings.

The specific deliverables and timeline for each service will be mutually agreed upon between the Contractor and the Client before performing them. It’s not possible to list all possible steps in this agreement as SEO is a dynamic industry. 

  • The Contractor has no control over the policies of search engines with respect to the type of sites and/or content that they accept now or in the future. The Client’s website may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory.
  • Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms, and other competitive factors, the Contractor does not guarantee #1 positions or consistent top 10 positions for any particular keyword, phrase, or search term. 
  • Google has been known to hinder the rankings of new websites (or pages) until they have proven their viability to exist for many months. This is referred to as the “Google Sandbox.” The Contractor assumes no liability for ranking/traffic/indexing issues related to Google Sandbox penalties.
  • Occasionally, search engines will drop listings for no apparent or predictable reason. Often, the listing will reappear without any additional SEO. Should a listing be dropped during the SEO campaign and not reappear within 30 days of campaign completion, The Contractor will re-optimize the website/page based on the current policies of the search engine in question.
  • Some niche industry directories offer listing services for a fee. If the Client wishes to engage in niche industry listing directories, (e.g., paid directories), the Client is responsible for all fees charged for inclusion in these directories if the Client chooses to be in them. 
  1. Client Responsibilities. The Client agrees to:
  • Provide Contractor with all necessary access to the Client’s website and marketing materials.
  • Cooperate with Contractor in a timely manner to provide any information or complete any tasks necessary for the performance of the Services. All communication should be responded to within 48 hours.
  • Approve all content created by Contractor before it is published on the Client’s website.
  • Comply with all applicable laws and regulations related to the Services.
  1. Reporting.

The Contractor will provide the Client with monthly reports that detail SEO progress and performance metrics. These reports may include, but are not limited to:

  • Keyword rankings
  • Organic traffic
  • Backlink profile analysis
  • Conversion rates (if applicable)
  1. Term and Termination.
  • This Agreement will commence on the Effective Date (as defined above) and will continue for a period of [Number] months, unless earlier terminated as provided herein (the “Term”).
  • The Agreement may be terminated by either party upon [Number] days written or email notice to the other party (the “Termination Notice”).
  • This Agreement may be terminated by Contractor immediately upon written notice to the Client if the Client breaches any material provision of this Agreement and fails to cure such breach within [Number] days of receipt of such notice.
  1. Fees and Payment.
  • The Client agrees to pay the Contractor $XX per month. Payments are due on the 25th of each month until the termination of this Agreement. 
  1. Refunds.

In the event that the Client terminates this Agreement early without cause, no refund will be provided for any prepaid fees. SEO is an ongoing process that requires consistent effort over time to achieve optimal results. The initial setup and foundation building for SEO take time and cannot be prorated if the Client terminates the Agreement prematurely. This is why our fees are structured as monthly payments, reflecting the ongoing nature of SEO services.

  1. Confidentiality.
  • Both parties agree to hold in confidence all Confidential Information (as defined below) of the other party.
  • “Confidential Information” includes any information disclosed by one party to the other party, whether orally, in writing, or by any other means, that is designated as confidential or that, by its nature or the circumstances surrounding its disclosure, ought to be treated as confidential.
  • This obligation of confidentiality shall not apply to information that: (a) was already known to the receiving party at the time of disclosure; (b) is or becomes publicly known through no fault of the receiving party; (c) is rightfully received by the receiving party from a third party without any obligation of confidentiality; or (d) is independently developed by the receiving party without use of any Confidential Information of the disclosing party.
  1. Disclaimer of Warranties.
  • The contractor makes no warranties, express or implied, with respect to the services, including without limitation any warranties of merchantability, fitness for a particular purpose, or non-infringement.
  1. Limitation of Liability.
  • In no event shall either party be liable to the other party for any indirect, incidental, special, consequential, or punitive damages, arising out of or relating to this agreement, even if advised of the possibility of such damages.
  1. Independent Contractors.
  • The parties to this Agreement are independent contractors and nothing in this Agreement shall be construed to create an employer-employee, partner, or joint venture relationship between the parties.
  1. Entire Agreement.
  • This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
  1. Governing Law.
  • This Agreement shall be governed by and construed in accordance with the laws of the State of [Your State].
  1. Severability.
  • If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
  1. Notices.
  • All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified or registered mail, postage prepaid, return
